Terms of Use

1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of StitchOS (“we”, “us”, “our”) and our software-as-a-service (SaaS) platform for apparel factories. By accessing or using StitchOS, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services.

2. Eligibility
You must be legally capable of entering into a binding contract under applicable law to use StitchOS. If you are using StitchOS on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.

3. Account Registration and Security
To use certain features of StitchOS, you may need to create an account and provide accurate, complete and up-to-date information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials.

  • All activities that occur under your account.

You agree to notify us promptly of any unauthorized use of your account or any other breach of security.

4. Permitted Use
You may use StitchOS solely for your internal business purposes and in accordance with these Terms and applicable laws.

You agree not to:

  • Use the service in any way that violates any applicable law or regulation.

  • Access or attempt to access data that does not belong to you or your organization.

  • Interfere with or disrupt the integrity or performance of the service.

  • Upload or transmit any viruses, malware or other harmful code.

  • Attempt to reverse engineer, decompile or otherwise derive source code from the service, except where permitted by law.

We reserve the right to suspend or terminate your access if we reasonably believe you are misusing the service.

5. Subscriptions, Fees and Payments
Access to certain features of StitchOS may require a paid subscription.

  • The applicable fees, billing cycles and payment terms will be presented at the time you select your plan.

  • You authorize us or our payment processors to charge your chosen payment method for all applicable fees.

  • Unless otherwise stated, subscriptions may renew automatically at the end of each billing period until cancelled.

Any specific pricing, discounts or custom terms may be set out in a separate written agreement between you and StitchOS.

6. Modifications to the Service
We may update or modify StitchOS from time to time, including by adding, changing or removing features.

We will make reasonable efforts to notify you of material changes that significantly affect your use of the service. Your continued use of StitchOS after such changes become effective constitutes your acceptance of the modified service.

7. Intellectual Property Rights
StitchOS, including all software, content, features and functionality, is owned by us or our licensors and is protected by copyright, trademark and other intellectual property laws.

  • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes, subject to these Terms.

  • You may not copy, modify, distribute, sell, lease or create derivative works based on any part of the service, except as expressly permitted by us in writing.

All trademarks, logos and service marks displayed on StitchOS are the property of StitchOS or third parties. You may not use them without prior written permission.

8. Third-Party Services and Links
StitchOS may integrate with or link to third-party services, websites or applications.

  • Your use of third-party services is governed by their own terms and privacy policies.

  • We are not responsible for the content, availability or practices of third-party services and do not endorse them.

9. Disclaimers
StitchOS is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the service will be uninterrupted, secure, error-free or free of harmful components.

10. Limitation of Liability
To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses, arising out of or in connection with your use of or inability to use StitchOS.

  • Our total aggregate liability for any claim arising out of or relating to these Terms or the use of StitchOS shall not exceed the amount you paid to us for the service during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification
You agree to indemnify, defend and hold harmless StitchOS, its affiliates, and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of the service.

  • Your violation of these Terms.

  • Your violation of any rights of another person or entity.

12. Termination
We may suspend or terminate your access to StitchOS at any time, with or without notice, if we reasonably believe that:

  • You have violated these Terms, or

  • Continued access may cause harm or legal risk to us, the service or other users.

You may stop using the service at any time. Termination does not relieve you of any obligation to pay outstanding fees.

Upon termination, your right to use the service will immediately cease, and we may delete or restrict access to your account data in accordance with our policies and applicable law.

13. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or your use of StitchOS shall be subject to the exclusive jurisdiction of the courts located in insert city, India.

14. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will revise the “Last updated” date below and, where appropriate, notify you through the service or by email. Your continued use of StitchOS after the updated Terms become effective constitutes your acceptance of them.
